1. Overview of Table1125

Table1125 is an online platform that connects farmers, food producers, and artisans (“Vendors”) with consumers (“Buyers”) to facilitate the sale and purchase of local, fresh, and sustainably produced food and related products. Table1125 does not produce, own, or sell the products listed on the Site unless explicitly stated. Instead, we provide a digital marketplace for Vendors to list their products and for Buyers to purchase them directly from Vendors. Transactions, including payments, quality verification, and delivery, are facilitated through the Site and our trusted third-party partners.

2. Eligibility

To use the Site or Services, you must:

• Be at least 18 years old or the age of majority in your jurisdiction.
• Have the legal capacity to enter into binding contracts.
• Provide accurate, complete, and up-to-date account information.
• Comply with all applicable laws and regulations.

We reserve the right to refuse access to the Site or Services to anyone, at our sole discretion, for any reason, including violation of these Terms.

3. User Accounts

3.1 Account Creation

To access certain features of the Site, such as purchasing products or listing items as a Vendor, you must create an account. You agree to:

• Provide accurate and complete information during registration.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized use of your account at [email protected].
• Be responsible for all activities conducted under your account.

3.2 Account Termination

We may, at our sole discretion, suspend or terminate your account or access to the Site or Services if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason without prior notice. 4. Buyer Responsibilities

4.1 Purchases

Buyers agree to:

• Provide accurate billing and shipping information for all purchases.
• Pay for orders in full at the time of purchase, including any applicable taxes, shipping, or service fees.
• Review product descriptions, including allergens and storage requirements, before purchasing.

4.2 Delivery and Pickup

Buyers are responsible for:

• Providing accurate delivery or pickup information.
• Being available to receive deliveries or attend scheduled pickups, particularly for perishable goods.
• Inspecting products upon receipt and reporting any issues to the Vendor or Table1125 within [24 hours] of delivery or pickup.

4.3 No Returns or Refunds

Due to the perishable nature of many products sold on Table1125, all sales are final unless otherwise stated by the Vendor. If you are dissatisfied with a product, contact the Vendor directly or reach out to us at [email protected] within [24 hours] of receipt, and we will work with the Vendor to resolve the issue.

5. Payments

5.1 Payment Processing

Table1125 uses third-party payment processors (Stripe) to handle transactions. By making a purchase, you agree to the terms of the applicable payment processor. We are not responsible for errors, delays, or issues caused by third-party payment processors.

5.2 Transaction Fees

Buyers and Vendors may be subject to transaction fees, which will be clearly disclosed at checkout or in the Vendor Agreement. Table1125 reserves the right to modify fees with prior notice.

5.3 Taxes

Buyers are responsible for paying applicable sales, use, or other taxes associated with their purchases. Vendors are responsible for selecting the appropriate tax class when setting up products for purchase. A TaxJar account maintained by Table1125 will automatically collect and distribute the collected tax to the nexus associated with the order. If a vendor is not confident about the “Tax Class” to assign to a product it is their responsibility to contact [email protected]. Collecting tax on the behalf of the vendor is a service Table1125 provides. 

6. Intellectual Property

6.1 Site Content

All content on the Site, including text, graphics, logos, images, and software, is the property of Table1125 or its licensors and is protected by United States and international copyright, trademark, and other laws. You may not copy, modify, reproduce, distribute, or create derivative works from any Site content without our prior written consent.

6.2 User Content

By uploading content to the Site (e.g., product listings, images, or reviews), you grant Table1125 a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display such content in connection with the Services. You represent that you have all necessary rights to grant this license and that your content does not infringe on any third-party rights.

7. Prohibited Conduct

You agree not to:

• Use the Site or Services for any illegal or unauthorized purpose.
• Post or transmit false, misleading, or fraudulent information.
• Interfere with the operation of the Site, including by introducing viruses or malicious code.
• Attempt to access accounts or data belonging to other Users.
• Engage in conduct that harms the reputation of Table1125, Vendors, or other Users.

8. Disclaimers

8.1 As-Is Basis

The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Table1125 does not warrant that the Site will be error-free, uninterrupted, or secure.

8.2 Product Quality

Table1125 is not responsible for the quality, safety, or legality of products listed by Vendors. All product-related claims, including issues with quality, delivery, or misrepresentation, should be directed to the Vendor. We will assist in facilitating communication but are not liable for Vendor actions or products.

8.3 Third-Party Services

Table1125 may use third-party services for payment processing, delivery, or other functions. We are not responsible for the performance, errors, or policies of these third parties.

9. Limitation of Liability

To the fullest extent permitted by law, Table1125, its affiliates, directors, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Site or Services, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the Site or Services shall not exceed the amount you paid to us in the preceding twelve (12) months.

10. Indemnification

You agree to indemnify, defend, and hold harmless Table1125, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Site or Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to the Site or Services at our sole discretion, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Site and Services will cease immediately, and you will remain liable for any outstanding obligations, such as payments or product deliveries.

12. Modifications to Terms

We may revise these Terms at any time by posting the updated Terms on the Site. Changes are effective immediately upon posting and apply to all subsequent use of the Site or Services. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site and Services.

Return Policy

Return Policy (Subscriptions)

Table1125 offers a full refund for unused subscription duration. If you cancel your subscription, any remaining unused portion of your subscription fee will be refunded promptly.

Each vendor sets their own policies for product returns, exchanges, or refunds, and Table1125 directs customers to follow those guidelines for any product-specific concerns.
