Vendor Agreement

Purpose

This Agreement governs the relationship between Table1125 and Vendor for the listing, marketing, and sale of Vendor’s products or services ("Products") through the Table1125 online platform ("Platform").

1. Vendor Eligibility

Vendors must be verified by Table1125 to list products on the Site. Verification may include proof of identity, business registration, compliance with food safety regulations, and other criteria determined by Table1125.

2. Vendor Obligations:

Vendors are responsible for only listing items "For Sale" on the platform that are deliverable for the order cycle. Stock levels must be accurate to what is ready for delivery.

3. Delivery days:

Vendors understand that delivers will be available for pickup Tuesdays, Thursdays and Fridays between 8am and 5pm. Please notify [email protected] if a modification is needed in your schedule.

4. Availability buffer:

Vendors will set a product availability buffer for their store. If an order placed on Tuesday night can be available for delivery on Wednesday morning no delivery buffer is needed. If an order placed on Monday night needs preparation, a buffer day will ensure the product (eg. fresh baked bread, cakes) will not be selectable by the customer for delivery until the next delivery day (Thursday).

5. Customer inquiries:

Vendors agree to address questions and complaints related to their store and products in a timely manner thru the "Support Ticket Interface". Table 1125 will also have access to the open tickets in the interface.

6. Product Listings

Vendors agree to:

  • Product Listings: Vendor shall provide accurate and complete information about Products, including descriptions, prices, and availability, for display on the Platform.
  • Return Policy: Vendor shall maintain and provide to Table1125 a clear, written return policy for its Products sold through the Platform, which must be disclosed to customers through the Platform and comply with applicable federal, state, and local laws. No sales conducted outside the Table1125 Platform will be covered by any return policies under this Agreement.
  • Compliance: Vendor agrees to comply with all applicable federal, state, and local laws, including but not limited to Florida Statutes governing commerce, consumer protection, and taxation.
  • Fulfillment: Vendor is responsible for fulfilling orders placed through the Platform in accordance with its stated policies and applicable law.
  • Customer Service: Vendor shall handle all customer inquiries, complaints, and returns related to its Products sold through the Platform, adhering to its own
  • Maintain sufficient inventory to fulfill orders placed through the Site.
  • Promptly update listings to reflect changes in availability or pricing.
  • Return policies as disclosed to Table1125.

7. Table1125 Obligations

  • Platform Access: Table1125 shall provide Vendor access to the Platform to list and sell Products, subject to the terms of this Agreement.
  • Payment Processing: Table1125 shall facilitate payment processing for Product sales and remit payments to Vendor, less any agreed-upon fees, on a weekly basis, with payments issued once per week for all completed transactions from the prior week.
  • Customer Feedback: Table1125 shall provide Vendor with weekly reports containing all consumer reviews and suggestions related to Vendor’s Products, as collected through the Platform.
  • Marketing: Table1125 may market Vendor’s Products on the Platform and through related channels at its discretion.

8. Non-Circumvention

Vendor agrees not to directly or indirectly contact, solicit, or engage in business transactions with any consumer or customer introduced through the Table1125 Platform for the purpose of bypassing or subverting Table1125’s role as the intermediary. This restriction applies to any consumer whose contact information or order details are obtained through the Platform during the term of this Agreement and for a period of one (1) year following termination of this Agreement. Violation of this clause may result in immediate termination of this Agreement and Vendor’s access to the Platform, as well as liability for any damages incurred by Table1125, including lost profits.

9. Term and Termination

  • Term: This Agreement begins on the Effective Date and continues until terminated by either Party.
  • Termination: Either Party may terminate this Agreement with five (5) days' written notice. Table1125 may terminate immediately for Vendor’s breach of this Agreement, including violation of the non-circumvention clause.
  • Upon termination, Vendor shall fulfill all pending orders and cease using the Platform.

10. Confidentiality

Vendor agrees to keep confidential any proprietary information provided by Table1125, including customer data obtained through the Platform, and to use such information solely for fulfilling orders under this Agreement.

11. Indemnification

Vendor shall indemnify and hold harmless Table1125 from any claims, damages, or liabilities arising from Vendor’s Products, actions, or failure to comply with applicable laws or this Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Hardee County, Florida.

13. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements.
  • Amendments: Any amendments to this Agreement must be in writing and signed by both Parties.
  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Good Faith: Both Parties agree to act in good faith in the performance of their obligations under this Agreement, as required under Florida law (F.S. § 563.022).
